Effective Date: May 2026 - Version 1.0
1. Introduction and Scope
These Terms and Conditions ("Terms") govern all sales, supply arrangements, and commercial relationships between Tablewise Italia Ltd ("Tablewise Italia", "we", "us", "our"), a distributor of Italian-manufactured wooden furniture, and any retail purchaser, stockist, or trade buyer ("Buyer", "you", "your"). By placing an order with Tablewise Italia, the Buyer unconditionally accepts these Terms in their entirety.
Tablewise Italia imports finished goods exclusively from its manufacturing partner, Florian SPA, an Italian furniture manufacturer. Our product range includes wooden tables, benches, console tables, and stools (collectively, "Products"). These Terms apply to all transactions between Tablewise Italia and Buyers operating as retail businesses.
2. Orders, Acceptance and Pricing
- Order Confirmation: All orders are subject to written acceptance by Tablewise Italia. No order shall be binding until confirmed in writing by an authorised representative of Tablewise Italia.
- Pricing: Prices are quoted exclusive of VAT and any applicable taxes, duties, or delivery charges unless expressly stated otherwise. Tablewise Italia reserves the right to amend pricing prior to order confirmation.
- Cancellation: Orders may not be cancelled or amended by the Buyer after written confirmation without the prior written consent of Tablewise Italia. Cancellation charges may apply.
- Right to Decline: Tablewise Italia reserves the right to accept or decline any order at its sole discretion.
3. Delivery
- Delivery Dates: Delivery dates provided by Tablewise Italia are estimates only and are not guaranteed. Tablewise Italia shall not be liable for any loss, cost, or expense arising from delays in delivery, whether caused by manufacturing lead times, shipping, customs, or any other circumstances beyond our reasonable control.
- Risk of Loss: Risk in the Products passes to the Buyer upon delivery to the Buyer's nominated delivery address or upon collection by the Buyer or its appointed carrier, whichever is earlier.
- Delivery Access: The Buyer is responsible for ensuring that a suitable and accessible delivery location is available at the time of delivery. Additional costs incurred due to failed or aborted deliveries shall be borne by the Buyer.
- Post-Delivery Responsibility: Tablewise Italia's responsibility ends at the point of delivery. Any damage, loss, or deterioration occurring after delivery is the sole responsibility of the Buyer.
- Inspection on Delivery: It is the Buyer's responsibility to inspect all Products at the time of delivery and to note any visible damage or discrepancy on the delivery documentation. Failure to do so may prejudice any subsequent claim.
- Notice of Damage or Defects: The Buyer must notify Tablewise Italia in writing of any damage or manufacturing defects within 72 hours of receipt of the Products. Such notification must include full photographic evidence clearly documenting the damage or defect, together with all relevant supporting documentation for each individual claim. Claims submitted outside of this 72-hour window, or without adequate photographic and documentary evidence, will not be accepted by Tablewise Italia.
4. Storage, Handling and Display - Buyer's Responsibilities
As Products are sold into retail environments, the Buyer accepts full responsibility for the proper storage, handling, and display of Products from the point of delivery. The following requirements are conditions of any warranty claim:
- Storage Conditions: Products must be stored indoors in a dry, well-ventilated environment, away from direct sunlight, excessive heat sources, moisture, or damp conditions.
- Unsuitable Environments: Products must not be stored in outdoor areas, unheated warehouses, or environments subject to significant temperature or humidity fluctuation.
- Floor Contact: Wooden furniture must not be placed in direct contact with wet or damp floors. Appropriate protection must be used at all times.
- Handling: Products must be handled with care at all times. Heavy stacking, dragging across hard surfaces, or use of improper lifting equipment may cause damage that will not be covered under warranty.
- Showroom Display: Display products in retail showrooms must be maintained and inspected regularly. Any damage identified in the showroom environment must be reported to Tablewise Italia promptly.
- Packaging: The Buyer must retain all original protective packaging until the Product is confirmed as undamaged upon delivery inspection.
Tablewise Italia shall bear no liability whatsoever for defects, damage, warping, cracking, staining, or deterioration of Products caused directly or indirectly by improper storage, handling, or display by the Buyer or any third party acting on the Buyer's behalf.
5. Installation and Assembly
- Installation Services: Tablewise Italia does not provide installation or assembly services unless expressly agreed in writing as part of a separate service agreement.
- Third-Party Installation: Where installation is carried out by the Buyer or a third party appointed by the Buyer, Tablewise Italia accepts no responsibility for damage, defect, or injury arising from incorrect or improper installation.
- Compliance with Instructions: The Buyer must ensure that any party installing the Products is suitably qualified and follows any assembly or installation instructions provided. Failure to follow such instructions will void any warranty claim.
- Structural Suitability: Tablewise Italia shall not be liable for structural failures or damage caused by installation on unsuitable surfaces, inadequate fixings, or excessive loading beyond stated product specifications.

6.1 What the Warranty Covers
The warranty covers defects in materials and workmanship present at the time of manufacture, including:
- Structural failures under normal use conditions
- Defects in joinery, fixings, or finish applied at the point of manufacture
- Material defects identified within the warranty period under proper use and storage

The warranty expressly excludes the following, and no claim shall be accepted in relation to:

- Natural characteristics of wood, including grain variation, minor colour variation, knots, or natural movement caused by changes in humidity or temperature
- Damage caused by exposure to moisture, water, extreme heat, direct sunlight, or unsuitable environmental conditions
- Wear and tear, scratches, dents, or surface damage caused by use, misuse, or neglect
- Damage arising from use of inappropriate cleaning products or methods
- Products that have been modified, repaired, or altered without prior written consent from Tablewise Italia
- Products held in retail stock for extended periods without evidence of appropriate storage conditions being maintained
- Cosmetic damage that does not affect the structural integrity or intended function of the Product

6.3 Warranty Claim Procedure

- Required Documentation: Claims must include: (a) proof of purchase and delivery date; (b) a detailed written description of the defect; (c) photographic evidence clearly showing the defect; (d) written confirmation and evidence of storage and handling conditions maintained from the point of delivery through to the date of the claim. Failure to provide this evidence will result in the claim being declined.
- Inspection Rights: Tablewise Italia reserves the right to inspect Products in situ before accepting any warranty claim. The Buyer must provide reasonable access for such inspection.
- Remedy: Where a valid warranty claim is accepted, Tablewise Italia will, at its sole discretion, repair, replace, or issue a credit note for the affected Product. No cash refunds shall be made under the warranty.
- Burden of Proof: Warranty claims made without adequate evidence of proper storage, handling, and installation will be declined. The burden of proof lies with the Buyer to demonstrate that the defect is a manufacturing fault and not the result of mishandling.
7. Stock Rotation and Condition Reporting
- Quarterly Checks: The Buyer must conduct a minimum of quarterly stock condition checks on all Products held in storage or on display, and must retain written records of such checks.
- Damage Reporting: Any Products identified as damaged, deteriorating, or stored in unsuitable conditions must be reported to Tablewise Italia in writing within 14 days of identification.
- Records as Warranty Condition: Failure to conduct and record regular stock checks will be taken into account when assessing any warranty claim. Claims relating to Products with no documented storage history may be declined.

8. Limitation of Liability
- Cap on Liability: Tablewise Italia's total liability to the Buyer in respect of any claim, whether in contract, tort, or otherwise, shall not exceed the invoice value of the Products to which the claim relates.
- Excluded Losses: Tablewise Italia shall not be liable for any indirect, consequential, special, or economic loss, including but not limited to loss of profit, loss of revenue, loss of business, or loss of goodwill.
- Third-Party Acts: Tablewise Italia shall not be liable for any claim arising out of the acts or omissions of third parties, including freight carriers, installation contractors, or the Buyer's own staff.
- Statutory Rights: Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9. Retention of Title
Title to and ownership of the Products shall not pass to the Buyer until Tablewise Italia has received full payment of all sums due in respect of the Products. Until title passes, the Buyer holds the Products as bailee for Tablewise Italia and must store them separately and in good condition. Tablewise Italia reserves the right to recover Products in the event of non-payment.
10. Payment Terms
- Payment Due: Payment terms will be agreed in writing at the time of the first order. Standard terms are payment due within thirty (30) days of invoice date, unless otherwise agreed.
- Late Payment: Tablewise Italia reserves the right to charge interest on overdue amounts at a rate of 4% above the Bank of England base rate, accruing daily from the due date until the date of actual payment.
- Withholding Delivery: Tablewise Italia reserves the right to withhold further deliveries where payment is overdue.
11. Returns Policy
- Authorised Returns Only: Products may only be returned with the prior written consent of Tablewise Italia. Unauthorised returns will not be accepted and may be returned to the Buyer at the Buyer's expense.
- Condition of Returns: Returned Products must be in their original condition, adequately packaged, and accompanied by a returns authorisation reference. Products returned in unsaleable condition will not be credited.
- Restocking Fee: Returns accepted due to Buyer preference rather than a valid warranty defect may be subject to a restocking fee of up to 20% of the invoice value.
12. Force Majeure
Tablewise Italia shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, strikes, governmental action, import/export restrictions, pandemics, supply chain disruption, or delays by manufacturing partners. Tablewise Italia will notify the Buyer as soon as reasonably practicable of any such event.
13. Confidentiality and Trade Pricing
The Buyer acknowledges that trade pricing, discount structures, and supply arrangements disclosed by Tablewise Italia are confidential. The Buyer undertakes not to disclose such information to any third party without the prior written consent of Tablewise Italia.
14. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
15. Amendments and Entire Agreement
These Terms constitute the entire agreement between the parties in relation to the supply of Products and supersede all prior representations, negotiations, or agreements.
